These terms set out the general conditions for accessing and using Outerview websites, platform features, products, content, and services.

1. Acceptance of Terms
These Terms of Service govern your access to and use of Outerview websites, products, services, platform features, forms, content, data, and related offerings. By accessing or using the services, you agree to these terms.
If you use the services on behalf of an organization, you represent that you have authority to bind that organization, and references to you include that organization.
2. Services
Outerview builds tools for physical-world intelligence, including search, answer, monitor, measure, predict, navigate, benchmark, research, and related services.
Certain services may be subject to separate order forms, statements of work, partnership agreements, data processing agreements, or product-specific terms. If those terms conflict with these Terms of Service, the more specific terms control for that service.
3. Accounts and Access
You may need an account or authorized access to use certain services. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account.
You must provide accurate information, keep account information current, and promptly notify us of any unauthorized access or security issue.
4. Acceptable Use
You may not misuse the services, interfere with their operation, attempt unauthorized access, reverse engineer restricted components, bypass security controls, scrape or harvest data except as permitted, or use the services in violation of law.
You may not use the services to infringe rights, endanger people, perform unlawful surveillance, discriminate unlawfully, or make high-risk decisions without appropriate human review and safeguards.
5. Customer Content and Data
You retain ownership of content, data, images, video, files, prompts, queries, and materials you submit to the services, subject to the rights you grant us to provide and improve the services.
You grant Outerview a non-exclusive, worldwide license to host, process, transmit, display, analyze, and use submitted content as necessary to operate, secure, support, and improve the services and as otherwise described in applicable agreements.
You represent that you have the rights and permissions necessary to provide content to Outerview and to authorize our processing of that content.
6. Outerview Materials
The services, software, models, designs, interfaces, documentation, benchmarks, reports, data structures, methods, trademarks, logos, and other Outerview materials are owned by Outerview or its licensors.
Except for rights expressly granted to you, no license or ownership interest is transferred under these terms.
7. Outputs and Decisions
Outerview services may generate search results, measurements, rankings, alerts, predictions, answers, reports, or other outputs based on available data and model analysis.
Outputs may be incomplete, inaccurate, outdated, or unsuitable for certain uses. You are responsible for evaluating outputs, applying human judgment, and complying with laws and professional standards before relying on them.
8. Fees and Payment
Paid services, if any, are governed by the applicable order form, subscription plan, invoice, or written agreement. You agree to pay all fees when due and provide accurate billing information.
Unless otherwise stated in a separate agreement, fees are non-refundable except where required by law.
9. Confidentiality
If either party receives non-public information that is identified as confidential or should reasonably be understood to be confidential, the receiving party will use reasonable care to protect it and will use it only for the purposes of the relationship.
Confidentiality obligations do not apply to information that is public, already known without restriction, independently developed, or rightfully received from another source.
10. Privacy
Our Privacy Policy explains how we collect, use, and protect personal information. By using the services, you acknowledge that we process information as described in that policy and any applicable data agreements.
11. Third-Party Services
The services may include links, integrations, data, software, or services provided by third parties. Outerview is not responsible for third-party services and does not control their terms, policies, or practices.
12. Disclaimers
To the maximum extent permitted by law, the services are provided as is and as available, without warranties of any kind, whether express, implied, statutory, or otherwise.
Outerview disclaims warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, availability, and reliability.
13. Limitation of Liability
To the maximum extent permitted by law, Outerview will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, data, goodwill, or business opportunities.
Outerview's aggregate liability for claims relating to the services will not exceed the amounts paid by you to Outerview for the relevant service in the twelve months before the event giving rise to the claim, or one hundred dollars if no amounts were paid.
14. Indemnification
You agree to defend, indemnify, and hold harmless Outerview and its affiliates, officers, directors, employees, and agents from claims, damages, liabilities, losses, and expenses arising from your content, misuse of the services, violation of these terms, or violation of law or third-party rights.
15. Suspension and Termination
We may suspend or terminate access to the services if you violate these terms, create risk for Outerview or others, fail to pay amounts due, or if continued access would be unlawful or harmful.
You may stop using the services at any time. Provisions that by their nature should survive termination will survive.
16. Governing Law
These terms are governed by the laws of the State of Delaware, without regard to conflict of law principles, unless a separate written agreement states otherwise.
The parties will attempt to resolve disputes in good faith before initiating formal proceedings, except where urgent legal relief is needed.
17. Changes to Terms
We may update these terms from time to time. Updated terms will be posted on this page with a revised last updated date. Continued use of the services after changes become effective means you accept the updated terms.
